Terms of Service

These Terms of Service ("Terms") govern access to and use of the LitPrep.io platform ("LitPrep", "we", "us"). By creating a workspace or using the platform, the firm or organization that signs up ("Customer", "you") agrees to these Terms.

1. The service

LitPrep is an AI-assisted document preparation platform for litigation teams. It provides document intake, OCR, first-pass review, privilege review workflows, redaction tools, Bates stamping, document logs, and production sets. LitPrep is a software tool. It does not provide legal advice, and it is not a substitute for attorney review. You remain responsible for reviewing all outputs and for every legal decision made using them.

2. Accounts and security

You are responsible for the accuracy of your account information, for the actions of users you invite to your workspace, and for keeping credentials confidential. Two-factor authentication is required. Notify us promptly of any suspected unauthorized access.

3. Subscriptions, trials, and billing

• Plans are billed per firm: $500 per month, or $5,500 per year.
• New firms may receive a 14-day free trial. A valid payment method is required to start a trial. Unless canceled before the trial ends, the plan begins automatically and the platform fee is charged to the payment method on file.
• Page usage is billed at $0.05 per page processed unless a different rate is agreed in writing for your firm. Usage is metered as documents are processed and invoiced monthly in arrears.
• Subscriptions renew automatically for successive terms until canceled. You may cancel at any time from the billing screen; cancellation takes effect at the end of the current paid period. Fees already paid are non-refundable except where required by law.
• If a payment fails, new uploads and AI processing may be paused until billing is current. Documents already in your workspace remain accessible for download.
• Prices may change on at least 30 days' notice, effective at your next renewal. Fees are exclusive of taxes, which are added where applicable.

4. Your data

You retain all rights to the documents and data you upload. You grant us the limited right to host, process, and transmit that content solely to provide the service to you, including processing through OCR and AI models used by the platform. We do not sell your content, and we do not use it to train third-party foundation models. Handling of personal information is described in our Privacy Policy.

You represent that you have the rights and authority necessary to upload the content you submit, and that doing so does not violate a protective order, court rule, or the rights of a third party.

5. Acceptable use

You may not use the platform to break the law, infringe rights, upload malicious code, probe or interfere with the security of the service, resell access to firms outside your organization, or attempt to access another customer's workspace.

6. Availability and support

We work to keep the platform available and to respond promptly to support requests, but the service is provided without an uptime guarantee unless one is agreed in a separate written agreement. Maintenance, third-party outages, and factors outside our control may affect availability.

7. Termination

You may stop using the service and cancel your subscription at any time. We may suspend or terminate access for non-payment or material breach of these Terms. After termination, you may request an export of your workspace content for a reasonable period before deletion.

8. Disclaimers and limitation of liability

Except as expressly stated in these Terms, the service is provided "as is" without warranties of any kind, including any warranty that AI-generated output will be accurate or complete. To the maximum extent permitted by law, neither party is liable for indirect, incidental, or consequential damages, and our aggregate liability arising out of the service is limited to the amounts you paid us in the 12 months preceding the claim.

9. Changes to these Terms

We may update these Terms. Material changes will be communicated to workspace administrators before they take effect, and continued use after the effective date constitutes acceptance.
